These Terms of Service (“Terms”) govern your access to and use of the AgentWeb platform, products, services, software, and websites (collectively, the “Services”) operated by AgentWeb, Inc. (“AgentWeb,” “we,” “us,” or “our”).

By accessing or using AgentWeb, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. What AgentWeb Is (and Is Not)

AgentWeb provides AI-assisted marketing tools, workflows, reports, automations, and optional services designed to help users research, create, launch, and optimize marketing campaigns.

AgentWeb is not:

• A substitute for professional legal, financial, medical, or compliance advice
• A guarantee of revenue, leads, conversions, or business success
• A fully autonomous system that operates without human oversight

You acknowledge that marketing outcomes are inherently uncertain and dependent on many factors outside AgentWeb’s control.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use AgentWeb.

If you are using AgentWeb on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3. Account Registration & Security

To use certain features, you must create an account.

You agree to:

• Provide accurate, current information
• Keep your login credentials secure
• Be responsible for all activity under your account

AgentWeb is not liable for losses caused by unauthorized account access resulting from your failure to safeguard credentials.

4. Use of the Services

You agree to use AgentWeb only for lawful purposes and in compliance with all applicable laws.

You may not:

• Use AgentWeb to violate laws, regulations, or third-party rights
• Attempt to reverse engineer, scrape, or exploit the platform
• Upload malicious code or interfere with system integrity
• Use AgentWeb to generate or distribute unlawful, deceptive, or harmful content

We reserve the right to suspend or terminate access for violations.

5. AI-Generated Output & Human Responsibility

AgentWeb uses AI models and automated systems that may produce outputs that are incomplete, inaccurate, outdated, or misleading.

You acknowledge and agree:

• AI output is provided “as-is”
• You are solely responsible for reviewing, validating, and deciding whether to use any output
• You remain responsible for compliance, messaging accuracy, and downstream use

AgentWeb is not liable for decisions or actions taken based on AI-generated content.

6. No Guaranteed Results

Marketing performance depends on market conditions, product quality, budget, timing, execution, and external platforms.

AgentWeb does not guarantee:

• Leads, revenue, traffic, conversions, or ROI
• Platform uptime without interruption
• Performance on third-party platforms (Meta, Google, LinkedIn, etc.)

Past performance does not predict future results.

7. Paid Plans, Fees & Billing

Certain features or services require payment.

By purchasing a paid plan, you agree:

• Fees are charged in advance unless otherwise stated
• All fees are non-refundable unless explicitly agreed in writing
• Taxes may apply and are your responsibility

Failure to pay may result in suspension or termination of access.

8. Services & Custom Engagements

If you purchase custom services (e.g., audits, campaigns, DFY services), those services may be governed by a separate Master Services Agreement (MSA) and/or Rider.

In case of conflict, the MSA or Rider controls for that engagement.

9. Intellectual Property

Our IP

AgentWeb retains all rights to:

• The platform, software, workflows, models, branding, and documentation

You may not copy, modify, or redistribute AgentWeb IP without permission.

Your Content

You retain ownership of content you upload.

By using AgentWeb, you grant us a limited license to use your content solely to operate and improve the Services.

10. Third-Party Tools & Platforms

AgentWeb integrates with or relies on third-party services.

We are not responsible for:

• Third-party outages or policy changes
• Account bans or ad rejections
• Data loss caused by third parties

Your use of third-party services is governed by their terms.

11. Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated by reference.

12. Suspension & Termination

We may suspend or terminate your access if:

• You violate these Terms
• You misuse the Services
• Continued access poses risk to AgentWeb or others

You may stop using the Services at any time. Termination does not entitle you to a refund unless explicitly stated.

13. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTWEB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

AGENTWEB SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR LOST PROFITS
• BUSINESS INTERRUPTION OR DATA LOSS

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO AGENTWEB IN THE 3 MONTHS PRIOR TO THE CLAIM.

15. Indemnification

You agree to indemnify and hold AgentWeb harmless from claims arising out of:

• Your use of the Services
• Your content
• Your violation of laws or third-party rights

16. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles.

Any disputes shall be resolved in the state or federal courts located in Delaware.

17. Changes to These Terms

We may update these Terms from time to time.

Continued use of AgentWeb after changes become effective constitutes acceptance of the updated Terms.
